Termination and PAR Return. This Agreement shall continue until terminated by either party upon thirty (30) days
prior written notice. Either party may terminate this Agreement immediately upon the occurrence of a default as stipulated
in Section 5. Termination shall not affect either party's payment obligations under this Agreement.
Upon termination, any transferred PAR may be returned to Client by Client remitting to SMAC (a) the initial transfer price
for such PAR, and (b) SMAC's actual direct mailing postage and materials costs incurred in pursuing recovery of such PAR.
No transferred PAR shall be returned if it has been paid in full, settled or has an established payment plan with SMAC.
